Terms of Service
Effective Date: January 1, 2025
MedSchoolGuru, operated by Portnoff Management Corp. and our affiliates (collectively, “MedSchoolGuru,” “we,” “us,” or “our”), provides access to certain educational software tools, content, and related services via our website and online platform (collectively, the “Platform”).
These Terms of Service (“Terms”) govern your access to and use of the Platform, whether as a free or paid user. By creating an account, paying an access fee, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not access or use the Platform.
1. Eligibility
You must be of legal age in your jurisdiction to form a binding contract, or have parental/guardian consent, to use MedSchoolGuru. By using the Platform, you confirm that you meet this requirement.
2. Nature of Services
MedSchoolGuru provides access to educational software, tools, question banks, guides, and other study resources.
Educational Use Only: All content and tools are provided solely for educational purposes. They are not medical advice, do not establish a doctor-patient relationship, and must not be used as a substitute for professional clinical judgment. Always consult qualified healthcare providers for diagnosis or treatment of medical conditions.
Paid Access: Users may purchase one-time access for a specified duration (e.g., 7 days, 30 days, 1 year, or lifetime) as described at the time of purchase.
Free Access: Users may create a free account for limited features.
No Physical Goods: All access is digital.
3. Relationship to MedSchoolBro
Some materials, explanations, guides, and other resources available on MedSchoolGuru may also be part of products offered by MedSchoolBro, a related brand of Portnoff Management Corp. Access to such materials via MedSchoolGuru is still governed by these Terms, regardless of whether you have separately purchased or accessed them through MedSchoolBro.
4. License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for personal, non-commercial educational purposes during your access period.
You may not:
- Share, resell, sublicense, or otherwise distribute your account access.
- Copy, reproduce, record, or distribute Platform content except as expressly permitted in writing by us.
- Circumvent security or digital rights management features.
5. Account Registration
You must register to access the Platform. You are responsible for:
- Keeping your login credentials confidential.
- All activity under your account.
- Promptly notifying us of any unauthorized use.
6. Payment & Refunds
Payment: Access fees are due at the time of purchase and processed via approved payment methods.
No Automatic Renewal: All paid access is one-time; no recurring subscription charges.
Refund Policy: Except where required by law, all sales are final. We may grant refunds solely at our discretion.
7. Intellectual Property
All Platform content, software, questions, explanations, graphics, designs, and trademarks are the exclusive property of MedSchoolGuru or its licensors.
- You receive no ownership rights.
- You may not create derivative works without our written consent.
8. User Content
If you submit feedback, suggestions, or other content (“User Content”), you grant us a perpetual, worldwide, royalty-free license to use it for any purpose.
You represent and warrant that you have the right to submit such content and that it does not infringe the rights of others.
9. Prohibited Uses
You agree not to:
- Share your paid access with others.
- Use bots, scripts, or scraping tools on the Platform.
- Attempt to reverse-engineer, decompile, or extract Platform data.
- Use the Platform for any unlawful purpose.
10. Termination
We may suspend or terminate your account, without refund, if you violate these Terms or engage in misuse of the Platform. Upon termination, your license is revoked, and you must cease all access.
11. No Warranty
The Platform is provided “as is” without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose. We do not guarantee uninterrupted or error-free service.
12. Limitation of Liability
To the fullest extent permitted by law, our total liability for any claim arising from your use of the Platform will not exceed the amount you paid for access in the 30 days preceding the claim. We are not liable for indirect, incidental, or consequential damages.
13. Indemnification
You agree to defend, indemnify, and hold harmless MedSchoolGuru, Portnoff Management Corp., and our affiliates from any claims, liabilities, damages, or expenses (including legal fees) arising from your misuse of the Platform or breach of these Terms.
14. Governing Law & Disputes
These Terms are governed by the laws of the Province of Ontario, Canada. Any disputes will be resolved exclusively in the courts of Ontario, unless otherwise required by applicable arbitration laws.
15. Changes to Terms
We may update these Terms at any time by posting a revised version on our website. Your continued use of the Platform after changes are posted constitutes your acceptance.

BY CREATING AN ACCOUNT, PAYING AN ACCESS FEE, OR OTHERWISE USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE IN THEIR ENTIRETY. IF YOU ARE ACCEPTING THESE TERMS ON BEHALF OF AN ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY TO THESE TERMS.
